Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Backhouse platform, operated by Backhouse Inc. ("Backhouse", "we", "us", or "our"). By creating an account or using the service, you agree to be bound by these Terms.

If you are using Backhouse on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Backhouse is a workspace platform designed for real estate professionals, including individual agents, teams, and brokerages. The service provides tools for managing transactions, documents, contacts, and team collaboration.

We may update, modify, or discontinue features of the service at any time. We will make reasonable efforts to notify you of significant changes that affect your use of the platform.

3. Account Registration

To use Backhouse, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account. You agree to notify us immediately of any unauthorized use of your account.

4. Workspaces and Organizations

Backhouse allows you to create and manage workspaces. As a workspace owner or administrator, you are responsible for managing members, permissions, and the content within your workspace.

Workspace owners may invite other users to join their workspace. By joining a workspace, members agree that workspace administrators may manage their access and permissions within that workspace.

5. Acceptable Use

You agree to use Backhouse only for lawful purposes and in accordance with these Terms. You may not:

Use the service to store, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable; attempt to gain unauthorized access to any part of the service, other accounts, or computer systems; interfere with or disrupt the service or servers connected to the service; use the service to send unsolicited communications or spam; reverse engineer, decompile, or disassemble any part of the service; use automated means to access the service without our prior written consent; impersonate any person or entity or misrepresent your affiliation with any person or entity; use the service to build, train, or improve a competing product or service; scrape, extract, or systematically collect data from the service for any purpose outside of your normal use; or use the service for competitive analysis, benchmarking, or any purpose intended to derive a commercial advantage for a competing product.

6. Your Content

You retain ownership of all content you upload, create, or store on Backhouse ("Your Content"). By using the service, you grant us a limited license to host, store, and display Your Content solely for the purpose of providing the service to you.

You are solely responsible for Your Content and represent that you have all necessary rights to upload it. We do not monitor or review Your Content, but we reserve the right to remove content that violates these Terms.

7. MLS Data and Compliance

Backhouse may allow you to access, store, or display data obtained from a Multiple Listing Service ("MLS"). MLS data is subject to the rules, regulations, and licensing agreements of the applicable MLS organization. You are solely responsible for ensuring that your use of MLS data within Backhouse complies with all applicable MLS rules and agreements.

You represent and warrant that you are a licensed real estate professional and an authorized member in good standing of any MLS whose data you access through the service. You agree not to share, distribute, export, or make MLS data available to any person who is not authorized to access it under the applicable MLS rules.

MLS data may only be used for the purposes permitted by your MLS membership agreement. You may not use MLS data for any unauthorized purpose, including but not limited to unauthorized solicitation, data mining, or redistribution to third parties.

Backhouse does not independently verify the accuracy or completeness of MLS data and is not responsible for any errors or omissions in such data. You acknowledge that MLS data is provided by third parties and that Backhouse makes no representations or warranties regarding its accuracy, timeliness, or completeness.

8. Payment and Billing

Certain features of Backhouse require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We use Stripe to process payments. By providing payment information, you agree to Stripe's terms of service. We may change our pricing with 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

9. Intellectual Property

The Backhouse platform, including its design, features, code, documentation, and branding, is owned by Backhouse Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

You may not copy, modify, distribute, sell, or lease any part of the service without our prior written consent. This includes reproducing or imitating the design, functionality, or user experience of the platform in whole or in part.

10. Termination

You may close your account at any time through your account settings or by contacting us at support@trybackhouse.com.

We may suspend or terminate your access to the service if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, or if we are required to do so by law. We will make reasonable efforts to notify you before termination, except where prohibited by law or where immediate action is necessary to protect the service or other users.

Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with our Privacy Policy.

11. Disclaimer of Warranties

Backhouse is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the service at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Backhouse Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the service.

Our total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Backhouse Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the service after changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the service and close your account.
